These Terms & Conditions (“Terms”) govern the services provided by Make Work Matter Ltd (company no. 15094677), trading as Brand Design Leeds (“we”, “us”, or “our”), to clients (“you”, “your”) engaging our design services.

By engaging our services or accepting a project proposal, you agree to these Terms in full.

1. Services

Brand Design Leeds offers two service tracks:

Ongoing Creative Support: a monthly subscription providing senior-led creative support for growing businesses. Scope flexes month to month based on agreed priorities.

Custom Design Projects: fixed-rate, fixed-scope design projects (brand identity, web design, digital, print, and related disciplines) scoped and agreed before work begins.

The specific scope, deliverables, and fees for your engagement will be set out in your project proposal or subscription agreement, which forms part of these Terms.

2. Engagement & Acceptance

For Custom Design Projects: your engagement begins once you have confirmed the project brief and paid the 50% deposit. Work will not commence before the deposit is received.

For Ongoing Creative Support: your engagement begins on the date of your first successful subscription payment. Services are delivered on a rolling monthly basis.

3. Client Responsibilities

To deliver quality work on time, we rely on you to:

  • Provide clear, timely briefs, feedback, and approvals
  • Upload brand assets, references, and source materials as requested
  • Ensure all materials you provide do not infringe any third-party rights (copyright, trademark, or otherwise)
  • Respond to queries within reasonable timeframes to avoid project delays
  • Adhere to agreed project milestones and communication windows

Delays caused by late feedback or missing materials may extend project timelines and are not grounds for fee reduction.

4. Revisions

Custom Design Projects: the number of revision rounds included is defined in your project brief. Additional revisions beyond the agreed scope will be quoted separately before proceeding.

Ongoing Creative Support: revisions are handled within the monthly scope, subject to reasonable use and the priorities agreed at the start of each month.

5. Payment Terms

Custom Design Projects

Fees are fixed and agreed before work begins, split into two payments:

  • 50% deposit, due before work commences
  • 50% balance, due on project completion, before final files are released

Payment is made securely via Stripe using unique payment links provided at each stage.

Ongoing Creative Support

Monthly subscription fees are payable in advance via Stripe subscription. Payment is taken automatically on the same date each month.

Late Payment

We reserve the right to pause or suspend services where invoices remain unpaid beyond 14 days of the due date. Interest may be charged on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Cancellation & Termination

Ongoing Creative Support

Either party may cancel with 30 days’ written notice. Services continue through the notice period, and no refund is given for the current or notice-period month. To cancel, email hello@branddesignleeds.com.

Custom Design Projects

Once a deposit is paid, the deposit is non-refundable. If you cancel after work has commenced, you remain liable for any work completed up to the cancellation date, which will be invoiced pro-rata against the project fee. The 50% deposit covers the initial phases of the project; additional work beyond the deposit value will be invoiced before cancellation takes effect.

Termination for Cause

Either party may terminate immediately in the event of material breach, insolvency, or unreasonable conduct. We reserve the right to terminate any engagement where client behaviour makes continued work untenable.

7. Intellectual Property

Pre-existing materials

Any assets, fonts, stock imagery, or code libraries we use that belong to third parties remain subject to their own licences. You are responsible for ensuring any materials you supply are legally cleared for use.

Work in progress

All concepts, drafts, and iterations remain the intellectual property of Brand Design Leeds until full payment has been received.

Transfer of rights

On receipt of full payment (final invoice for Custom Projects, or the relevant month’s fees for Ongoing Support), full ownership and usage rights in the final approved deliverables transfer to you. Source files (working documents in Figma, Adobe Illustrator, etc.) are delivered as part of final project handover.

Portfolio & marketing use

We reserve the right to showcase completed work in our portfolio, on social media, and in marketing materials unless you opt out in writing before project commencement. This includes process shots, final deliverables, and anonymised case studies. Confidential or pre-release work will be withheld until publicly launched.

8. Confidentiality

Both parties agree to treat non-public information shared during the engagement as confidential and to use it only for the purposes of delivering the services. This obligation survives termination of the engagement.

9. Limitation of Liability

Our total liability under any engagement is limited to the total fees paid by you for the specific project or the preceding three months of subscription fees (whichever is lower).

We shall not be liable for any indirect, incidental, special, or consequential losses, including loss of profit, revenue, or business opportunity, arising from or in connection with our services.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

10. Force Majeure

Neither party is liable for delays or failure to perform obligations caused by events beyond reasonable control, including but not limited to illness, internet outages, supplier failures, or acts of government.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on our website with a revised effective date. For active clients, material changes will be communicated directly and will not apply retroactively to work already agreed.
